This Disclaimer and Liability Waiver ("Waiver") applies to all events, experiences, and gatherings hosted, produced, or promoted by Bad Bill Productions LLC, including but not limited to events branded under Bad Bill and Nohelia, SizzleDuo, or any affiliated name (collectively, "the Company"). By applying for, purchasing a ticket to, or attending any Company event, you acknowledge that you have read, understood, and agreed to the terms below.

Assumption of Risk

You acknowledge that attendance at any Company event is voluntary and that you assume all risks associated with your participation, including but not limited to risks related to travel, transportation (including boats, yachts, and vehicles), venue conditions, alcohol consumption, physical activity, social interaction with other guests, and any other circumstance that may arise before, during, or after the event.

Some events may take place aboard private vessels, in private residences, or at venues not open to the general public. You understand that these locations may carry inherent risks including but not limited to water-related hazards, uneven surfaces, limited emergency access, and varying levels of security or supervision.

Release of Liability

To the fullest extent permitted by law, you release, waive, discharge, and covenant not to sue the Company, its owners, hosts, employees, contractors, venue partners, vessel operators, and any affiliated individuals or entities (collectively, "Released Parties") from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, injury, or death that may occur during your attendance at, or travel to and from, any Company event, including claims arising from the ordinary negligence of a Released Party.

This release does not apply to gross negligence, reckless or intentional misconduct, sexual assault, fraud, or any liability that cannot lawfully be waived under Florida law.

Indemnification

You agree to indemnify and hold harmless the Released Parties from third-party claims, liabilities, damages, costs, or expenses, including reasonable attorneys' fees, arising from your negligent, reckless, unlawful, or intentional conduct, or your material violation of a policy communicated by the Company. This obligation does not apply to claims caused by the negligence or misconduct of a Released Party.

Conduct and Right of Removal

All guests are expected to treat other guests, hosts, staff, and venue or vessel personnel with respect at all times. The Company and its venue or vessel partners reserve the right to refuse entry or remove any guest at any time, without refund, for reasons including but not limited to:

• Disruptive, disrespectful, or harassing behavior toward any other guest or staff member
• Visible intoxication or impairment upon arrival
• Failure to comply with a posted or communicated dress code
• Failure to present valid government-issued ID or a valid ticket, application approval, or QR code
• Any behavior deemed by the Company, in its sole discretion, to compromise the safety, comfort, or experience of other guests

Consent

Consent must be affirmative, informed, freely given, specific, and ongoing. Consent may be withdrawn at any time, for any reason. Silence, clothing, flirting, prior interaction, relationship status, or attendance at a Company event does not, by itself, constitute consent. A person who is asleep, unconscious, or materially impaired by alcohol or any other substance cannot provide consent.

Consent is required before any touching, sexual activity, photography, or recording involving another guest. Any violation of consent, harassment, or non-consensual conduct will result in immediate removal from the event without refund and may be reported to appropriate authorities. Guests may report concerns confidentially to a designated host or safety contact at any event.

This Waiver does not create any duty on the part of the Company to supervise, monitor, or intervene in private, consensual interactions between guests.

Photography and Media

General event photography or videography, where used, is handled separately from this Waiver through an optional media release. The Company does not require general guest photography as a condition of attendance. Where an event includes designated photo areas, those areas will be communicated at the venue, and no-photo areas will be respected. Any guest recording another guest without consent may be removed immediately without refund.

Refund and Cancellation Policy

All ticket purchases, application fees, and deposits are final and non-refundable. This applies to all circumstances, including but not limited to change of plans, illness, denial of entry due to non-compliance with this Waiver or a communicated dress code, or event postponement.

If the Company cancels an event in full, the Company may, at its discretion, offer an exception in the form of a credit toward a future event. A credit offered under this section is not guaranteed and is not a refund of any amount paid.

Application and Vetting

Certain events require an application and are reviewed at the discretion of the Company. Submission of an application does not guarantee entry, approval, or a refund of any associated fee. All application and admission decisions are made for lawful, non-discriminatory reasons, which may include conduct, safety, references, compatibility with the event format, capacity, prior policy violations, or incomplete information.

Additional Terms

• The Company is not responsible for lost, stolen, or damaged personal property.
• Weapons, illegal drugs, violence, and unauthorized recording are prohibited at all events.
• If emergency medical treatment is required, the guest is responsible for any resulting costs.
• Guests must arrange safe transportation to and from events and must not operate a vehicle while impaired.
• Specific events may have additional rules communicated in advance, which supplement this Waiver.
• The Company is not liable for delays, changes, or cancellations caused by weather, government orders, vessel or venue conditions, or other circumstances beyond its reasonable control.
• Where an event takes place at a third-party venue or aboard a charter vessel, that venue or operator may require guests to sign a separate waiver as a condition of participation.
• This Waiver applies prospectively from the date of acceptance and does not alter the terms a guest agreed to for a prior event.

Alcohol may be present or permitted at some events under a BYOB or venue-service policy. This Waiver does not replace responsible service practices, and nothing here is intended to expand liability protection beyond what Florida law allows, including applicable exceptions for underage guests or guests known to be habitually addicted to alcohol.

Severability

If any portion of this Waiver is found to be unenforceable or invalid under applicable law, that portion shall be severed and the remaining provisions shall remain in full force and effect.

Governing Law

This Waiver shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under this Waiver shall be resolved in the state or federal courts located in Broward County, Florida.

Acknowledgment

By checking the waiver acknowledgment box during application or RSVP, or by attending any Company event, you confirm that:

• You are at least 21 years of age
• You have read and understood this Waiver in its entirety
• You are voluntarily agreeing to its terms
• You understand this Waiver is a legally binding agreement
